New Schemes

Primary Securities Ltd offers a turnkey service to entities contemplating a new managed investment scheme:

• Preparation of variation to our Australian Financial Services Licence to bring the proposed scheme under the licence;
• Preparation of constitution, compliance plan, product disclosure statement and any other necessary agreements;
• (for agricultural schemes) preparation of product ruling application if required.

Existing Schemes

Primary Securities Ltd is able to assist with any necessary change of responsible entity which may involve:

• Preparation of variation to our Australian Financial Services Licence to bring the existing scheme under the licence
• Preparation of documentation to call a meeting of members of the managed investment scheme and attendance at such meetings (required to pass resolutions regarding the change of responsible entity); or
• Preparation of documentation to arrange for the Court to replace the existing responsible entity with Primary Securities Ltd on a temporary basis for three months pending a meeting of members to appoint a permanent responsible entity.
